Terms of Service

1. What Kept is

Kept ("we", "us") publishes a website that helps you interact with the Morpho protocol, a third-party, immutable set of smart contracts deployed on Robinhood Chain, together with a small fee contract of our own.

We are an interface, not a financial institution. We do not take custody of your assets, hold client money, make loans on our own balance sheet, or act as a broker, exchange, or investment adviser. Deposits and loans are recorded on-chain against your own wallet address.

2. Eligibility

By using Kept you confirm that you:

  • are at least 18 years old and legally able to enter into a contract;
  • are not a US person, and are not accessing the site from the United States;
  • are not located in, or a resident of, any jurisdiction subject to comprehensive sanctions, and are not on any sanctions list;
  • are not using the service in breach of any law that applies to you.

Stock Tokens are issued by third parties as debt securities rather than equity and are not available to US persons. Any eligibility restriction imposed by a token issuer applies to you independently of these terms.

3. Non-custodial by design

You keep control of your wallet and its private keys at all times. We cannot move your assets, reverse a transaction, recover a lost key, or restore access to a compromised wallet. Every transaction you sign is final.

4. Fees

We charge a fee of 1.00% on the amount borrowed, deducted at the moment of borrowing. We charge nothing to repay, though you remain liable for the interest your loan accrues. The fee is enforced by our contract and capped there at 2.00%; we may change it within that cap, and the live value is always readable on the transparency page.

Interest on your loan is set by the Morpho protocol, not by us, and we receive none of it. Network gas is paid by you to the network.

5. Risks you accept

Borrowing against collateral can result in liquidation and the loss of part of your assets. Smart contracts can contain defects. Price oracles can fail or report stale data. Stablecoins can lose their peg. Token issuers can fail. You accept these risks in full. Read the Risk Disclosure, which forms part of these terms.

6. No advice

Nothing on this site is investment, financial, legal, accounting or tax advice, or a recommendation to enter any transaction. Figures shown are for information only and may be delayed, cached or wrong. Always verify on-chain before acting.

7. Third-party protocols

Morpho, Chainlink, the Stock Token issuers, USDG's issuer, wallet providers and RPC providers are independent of us. We do not control them, do not warrant them, and are not liable for their acts, omissions or failures. We are not affiliated with Robinhood Markets, Inc. or any company whose ticker appears on this site.

8. Availability

We may change, suspend or discontinue the website at any time, with or without notice, including restricting access from particular jurisdictions. The underlying protocol is independent of our website: if our site is unavailable you can still interact with your position directly on-chain.

9. Prohibited use

You agree not to use Kept to launder money, finance terrorism, evade sanctions, manipulate markets, or break any law; and not to attack, overload or attempt to gain unauthorised access to our systems.

10. Limitation of liability

To the fullest extent permitted by law, the website is provided "as is" and "as available" with no warranties of any kind. We are not liable for any indirect, incidental, special or consequential loss, or for lost profits, lost opportunity, or loss of assets arising from liquidation, protocol failure, oracle failure, or your own transaction decisions.

Where liability cannot be excluded, our total aggregate liability to you is limited to the total fees you paid us in the three months before the claim arose.

11. Indemnity

You agree to indemnify us against claims, losses and costs arising from your use of the website, your breach of these terms, or your violation of any law.

12. Changes

We may update these terms. The "last updated" date above will change, and continuing to use the site after that means you accept the new version.

13. Governing law

These terms are governed by the laws of the European Union, without regard to conflict-of-law rules. Confirm this with counsel — it must match where your entity is actually established.
